In the absence of a separate Service Agreement, the terms described on our website regarding our service offerings constitute the general description of the Services available.
Our Services may include, but are not limited to: computer systems architecture and design; software and hardware integration; network infrastructure planning and deployment; cloud migration and hybrid-cloud architecture; cybersecurity assessment and implementation; IT strategy and roadmap development; digital transformation consulting; managed IT services and ongoing technical support; performance optimization and system tuning; and technology procurement advisory services.
We endeavor to describe our Services accurately on our website, but we do not warrant that descriptions, pricing, availability, or other content on the website is complete, current, or error-free. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, and we shall not be liable to you or any third party for any such modification, suspension, or discontinuance, except as expressly set forth in a Service Agreement.
User Accounts and Responsibilities
Certain features of the Services may require you to create an account or provide registration information. When you create an account, you agree to provide accurate, truthful, and complete information and to update it promptly so that it remains accurate at all times. You are solely responsible for maintaining the confidentiality of your account credentials, including your username, password, and any other authentication factors associated with your account.
You accept full responsibility for all activities that occur under your account, whether authorized by you or not. Payment and Billing Terms
Payment terms for professional services provided by Cor Astra Ltd. are specified in the applicable Service Agreement, statement of work, or invoice issued to you. Unless otherwise agreed in writing, all fees are quoted and payable in Canadian dollars (CAD) or United States dollars (USD) as specified in the relevant agreement. All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities, which shall be your responsibility to pay in addition to the stated fees.
Invoices are payable within the timeframe specified on the invoice, typically thirty calendar days from the invoice date unless otherwise agreed. Cor Astra Ltd. reserves the right to charge interest on overdue amounts at the rate of one and one-half percent per month or the maximum rate permitted by applicable law, whichever is lower. You shall be responsible for all costs of collection, including reasonable legal fees and court costs, incurred by us in collecting any overdue amounts.
We reserve the right to modify our fee structure for ongoing or future services upon reasonable notice to you, which may be provided by email, through our website, or by direct communication. Any fee changes will not apply retroactively to services already performed. If you dispute any charge in good faith, you must notify us in writing within fifteen calendar days of the invoice date, specifying the nature and amount of the dispute; failure to provide timely notice constitutes your acceptance of the invoice as issued.
Intellectual Property Rights
All content, materials, features, and functionality available on or through the CorAstra website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software, code, algorithms, data compilations, page layouts, design elements, and the overall look and feel of the website, are owned by or licensed to Cor Astra Ltd. and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The CorAstra name and logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Cor Astra Ltd. or its affiliates. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans appearing on our website or in our Services are the trademarks of their respective owners and are used by us under license or for descriptive purposes only.
Subject to the terms of any applicable Service Agreement, we retain all right, title, and interest in and to our pre-existing intellectual property, including any tools, methodologies, frameworks, libraries, templates, and know-how used in the delivery of our Services. Any intellectual property developed specifically for you as part of a Service Agreement will be assigned or licensed to you in accordance with the terms of that agreement.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the CorAstra website for your personal or internal business purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website except as incidental to normal web browsing or as expressly permitted in writing by us.
User-Generated Content
In the course of using our Services, you may submit, upload, transmit, or otherwise provide content, data, documents, designs, specifications, code, or other materials to us (collectively, User Content). You retain all ownership rights in your User Content, subject to the limited license you grant to us as described in this section.
By submitting User Content to Cor Astra Ltd., you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content solely to the extent necessary to provide, maintain, improve, and protect the Services, to comply with our legal obligations, and to enforce these Terms. This license continues for as long as we need the User Content for these purposes and terminates when we no longer require it, subject to any backup or archival copies retained in accordance with our data retention policies.
You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish and share all User Content you submit, and that your User Content does not and will not infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right. You are solely responsible for the legality, reliability, appropriateness, and accuracy of your User Content.
Prohibited Activities
Your use of the CorAstra website and Services is subject to the following prohibitions. You agree that you will not, and will not permit or encourage any third party to, engage in any of the following activities:
Using the Services for any unlawful purpose or in violation of any local, provincial, national, or international law or regulation. This includes, but is not limited to, transmitting any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of the privacy of another, hateful, or otherwise objectionable.
Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are hosted, or any server, computer, or database connected to the Services. This includes any form of hacking, password mining, denial-of-service attacks, or the introduction of viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Using any automated means, including robots, spiders, crawlers, scrapers, or other automatic devices or processes, to access, acquire, copy, or monitor any portion of the Services or any content without our express prior written consent.
Engaging in any activity that imposes an unreasonable or disproportionately large load on our infrastructure, as determined by us in our sole discretion, or that interferes with the proper working of the Services or any activities conducted on or through the Services.
Misrepresenting your identity, impersonating any person or entity, falsely stating or otherwise misrepresenting your affiliation with a person or entity, or engaging in fraudulent or deceptive conduct of any kind in connection with your use of the Services.
Violating the intellectual property rights, privacy rights, or any other legal rights of Cor Astra Ltd., our users, or any third party. We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these prohibitions.

Our website and Services may contain links to third-party websites, applications, tools, or services that are not owned or controlled by Cor Astra Ltd. These links are provided solely as a convenience to you and do not constitute an endorsement, sponsorship, or recommendation by us of the third party, its products, or its content.

Termination and Suspension

Termination of your access to the Services does not relieve you of any obligation to pay fees or charges accrued prior to the effective date of termination.
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property rights, limitations of liability, indemnification, and dispute resolution provisions.
Disclaimer of Warranties
Your use of the CorAstra website and Services is at your sole risk. The Services are provided on an AS IS and AS AVAILABLE basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Cor Astra Ltd., its subsidiaries, affiliates, and licensors do not warrant that the Services will function uninterrupted, that they will be secure or available at any particular time or location, that any errors or defects will be corrected, that the Services are free of viruses or other harmful components, or that the results of using the Services will meet your requirements. No advice or information, whether oral or written, obtained by you from us or through the Services will create any warranty not expressly stated in these Terms.
We make no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any content available on or through our website. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Cor Astra Ltd., its directors, officers, employees, agents, partners, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services, any conduct or content of any third party on the Services, any content obtained from the Services, or unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
In no event shall the aggregate liability of Cor Astra Ltd. exceed the greater of one hundred Canadian dollars ($100.00 CAD) or the amounts actually paid by you to Cor Astra Ltd. for the specific service giving rise to the claim during the twelve months preceding the event giving rise to liability. The limitations of this section shall apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise, and whether or not Cor Astra Ltd. has been informed of the possibility of any such damage.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
Indemnification Obligations
You agree to defend, indemnify, and hold harmless Cor Astra Ltd., its parent company, subsidiaries, affiliates, and their respective directors, officers, employees, contractors, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses, including reasonable legal and accounting fees, arising out of or in connection with: your use of and access to the Services; your violation of any term of these Terms; your violation of any third-party right, including without limitation any copyright, trademark, property, or privacy right; any claim that your User Content caused damage to a third party; or any violation of applicable laws or regulations by you or anyone using your account.
This indemnification obligation will survive the termination or expiration of these Terms and your use of the Services. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. You shall not settle any matter subject to indemnification without our prior written consent.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to any conflict of law principles that would require the application of the laws of a different jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be addressed through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty calendar days, either party may refer the matter to binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act of Ontario. The arbitration shall be conducted in the English language by a single arbitrator mutually agreed upon by the parties or, failing agreement, appointed by a court of competent jurisdiction in Toronto.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of the intellectual property rights, data security, or other proprietary interests of that party. You agree to submit to the personal jurisdiction of the federal and provincial courts located in Toronto, Ontario for the purpose of litigating any such claims.
Modifications to These Terms
We reserve the right, at our sole discretion, to modify, update, or replace these Terms of Service at any time. When we make material changes, we will update the last updated date at the top of this page and may provide additional notice, which could include sending an email notification to users who have provided their contact information or displaying a prominent notice on our website.
What constitutes a material change will be determined at our sole discretion, but will generally include changes that affect your rights or obligations, the scope of the Services, the fee structure, or the limitation of liability provisions. All formal notices required or permitted to be given under these Terms shall be in writing and delivered by email to the email address you have provided to us (in the case of notices from us to you) or to chat@corastra.buzz (in the case of notices from you to us). Miscellaneous Provisions
Entire Agreement: These Terms, together with any Service Agreement, privacy policy, and any other legal notices published by Cor Astra Ltd. on the website, constitute the entire agreement between you and Cor Astra Ltd. concerning the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.
Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to achieve the closest economic and legal effect possible to the original provision, and the remaining provisions of these Terms shall remain in full force and effect. Any waiver must be in writing and signed by an authorized representative of Cor Astra Ltd. to be effective.
Assignment: You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
Force Majeure: Cor Astra Ltd. shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government orders, labor disputes, power failures, internet service interruptions, or failures of third-party hosting or telecommunications infrastructure.
Relationship of the Parties: Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, franchise, or employment relationship between you and Cor Astra Ltd. You have no authority to bind Cor Astra Ltd. in any respect, and you shall not represent to any third party that you have such authority.
Headings and Interpretation: The section headings in these Terms are for convenience only and have no legal or contractual effect. The use of the term including shall mean including without limitation. Unless the context otherwise requires, the singular includes the plural and vice versa.
